Terms of Service

These Terms of Service ("Agreement") govern the use of services provided by Click Lab ("Company", "we", "our", "us") to the client ("Client", "you", "your"). By engaging with Click Lab, you agree to these terms.
1. Services Provided
Click Lab provides services including but not limited to:
Website design & development
SEO (Search Engine Optimization)
Google Ads & PPC management
Online marketing & consulting
Data & analytics reporting
The exact scope of services will be outlined in your individual service agreement or proposal.
2. Client Responsibilities
To ensure the best results, the Client agrees to:
Provide accurate and up-to-date business information
Grant necessary access to required platforms (Google Ads, Analytics, Search Console, etc.)
Review and approve deliverables in a timely manner
Comply with applicable laws, including data privacy and advertising regulations
Click Lab is not responsible for delays caused by missing client approvals, incomplete access, or failure to provide required information.
3. Payments & Fees
All services are billed as outlined in your service agreement.
Payments for third-party tools, ad spend, or software subscriptions (e.g., Google Ads, Facebook Ads, Shopify apps, etc.) will be paid directly by the Client unless otherwise agreed.
If Click Lab pays for third-party services on your behalf, these costs will be billed separately with an additional handling fee.
Late payments may result in paused services and may incur late fees.
4. Refunds & Cancellations
All payments are non-refundable unless explicitly stated in your service agreement.
Monthly retainers and recurring services require 30 days' written notice for cancellation.
Pre-paid services (e.g., website design) are non-refundable once work has commenced.
5. Intellectual Property & Ownership
Websites & Design Work: Upon full payment, the Client owns the final website, graphics, and content provided by Click Lab.
Marketing & Ad Campaigns: Click Lab manages ad accounts on behalf of the Client. If management is discontinued, access and ownership of ad accounts remain with the Client.
Proprietary Tools & Analytics: Click Lab retains ownership of any proprietary tools, frameworks, templates, or methodologies used in providing services.
6. Advertising & Third-Party Platforms
Click Lab manages ad campaigns on Google Ads, Facebook, and other advertising platforms, but we do not guarantee specific results, rankings, or conversions.
Conversion tracking & analytics setup will be provided, but performance depends on multiple factors, including market conditions and ad spend.
The Client is responsible for ad spend budgets paid directly to platforms unless otherwise agreed.
7. Reporting & Analytics
Click Lab provides reporting through our proprietary data aggregation platform, which integrates with:
Google Ads, Google Analytics, Google Search Console, Facebook Ads, Shopify, email marketing tools, etc.
Standard reports are included in retainers, while custom reports may be billed separately based on the service agreement.
The Client must grant necessary access to relevant platforms for accurate reporting.
Reports are generated from third-party data sources; Click Lab is not responsible for discrepancies due to API limitations, delayed data updates, or third-party changes.
Clients own raw data, but Click Lab retains ownership of its reporting dashboards and proprietary analytics tools.
8. Liability & Disclaimers
Click Lab is not liable for indirect, incidental, or consequential damages arising from the use of our services.
We do not guarantee specific rankings, traffic, or conversions, as these depend on factors outside our control.
The Client agrees to indemnify Click Lab against any legal claims related to website content, advertising, or compliance violations.
9. Confidentiality & Data Protection
Both parties agree to keep confidential any sensitive business information shared during the course of services.
Click Lab follows industry best practices for data security & privacy but is not responsible for breaches caused by third-party platforms or client-side vulnerabilities.
10. Termination of Services
Either party may terminate the agreement with 30 days’ written notice.
Click Lab reserves the right to terminate services immediately if the Client engages in unethical or illegal activities.
11. Governing Law
These terms are governed by the laws of New Zealand. Any disputes shall be resolved in Auckland, NZ courts.
12. Changes to These Terms
Click Lab reserves the right to update these Terms of Service. The latest version will always be available on our website.
